Terms of Service

These Terms of Service (“Agreement”) govern the use of services provided by Willow Roots Creative LLC(“Company,” “we,” “us,” or “our”) to the client (“Client,” “you,” or “your”). By engaging our services, you agree to the following terms.

1. Scope of Services

Willow Roots Creative provides digital services including, but not limited to:

  • Website Design & Development

  • Website Optimization & Auditing

  • SEO Research, Optimization & Implementation

  • Social Media Management

  • Digital Presence & Advertising Consulting

  • Website Maintenance & Retainers

  • Hosting & Hosting Management (including third-party coordination)

  • IT & Digital Infrastructure Support (domains, email, DNS, integrations)

  • Custom CMS Plugin, Theme, and Application Development

  • Third-Party Integrations (CRMs, booking tools, APIs)

  • Photography services for digital and marketing use

Specific services, deliverables, and timelines will be outlined in individual proposals or agreements.

We reserve the right to determine the methods, tools, and technical approach used to deliver services.

2. Client Responsibilities

Client agrees to:

  • Provide necessary content, assets, and access credentials in a timely manner

  • Respond to communications and feedback requests promptly

  • Review and approve deliverables within a reasonable timeframe

Delays in communication or asset delivery may result in project delays. Willow Roots Creative is not responsible for missed deadlines caused by lack of client participation.

3. Payments & Billing

  • A deposit may be required prior to the start of work

  • Remaining balances are due based on agreed milestones or completion

  • Ongoing services (maintenance, hosting, retainers) are billed on a recurring basis

  • Late payments may result in paused work or suspended services

All payments are non-refundable unless otherwise stated.

4. Revisions & Scope

Projects are completed based on the agreed scope of work.

  • Reasonable revisions are included within scope

  • Requests outside of scope will be quoted separately

Scope changes may impact timelines and pricing.

5. Intellectual Property

Upon full payment:

  • Client owns final deliverables specific to their project

Willow Roots Creative retains the right to:

  • Display work in portfolios and marketing materials

  • Reuse general methodologies, frameworks, and non-client-specific code

6. Third-Party Services

Projects may involve third-party tools, platforms, or providers, including but not limited to:

  • Hosting providers

  • CMS platforms

  • Plugins and integrations

  • Analytics and tracking tools

We are not responsible for:

  • Third-party outages

  • Software bugs

  • Platform policy or API changes

7. No Guarantee of Results

While we apply industry best practices, Willow Roots Creative does not guarantee:

  • Search engine rankings

  • Website traffic or conversions

  • Business or revenue outcomes

Results depend on multiple external factors beyond our control.

8. Limitation of Liability

Services are provided “as is” without warranties of any kind.

Willow Roots Creative shall not be liable for:

  • Indirect or consequential damages

  • Loss of revenue, data, or business opportunities

Total liability shall not exceed the total amount paid for services.

9. Termination

Either party may terminate services:

  • With written notice for ongoing engagements

  • Immediately in the case of non-payment or breach

Client remains responsible for payment of work completed up to termination.

10. Confidentiality

Both parties agree to keep confidential any non-public or proprietary information shared during the course of the engagement.

11. Governing Law

This Agreement shall be governed by the laws of the State of New Hampshire.

12. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of services constitutes acceptance of any changes.
